Terms & Conditions and User Agreement

These Terms & Conditions (the "Terms") are a binding agreement between you and Founders Maintenance and Restoration, LLC, the operator of the FoundersCore platform ("FoundersCore," "we," "us"). By creating an account, accepting an invitation, or using FoundersCore in any way, you agree to these Terms. If you do not agree, do not use the platform.

1. What FoundersCore is

FoundersCore is business-management software for contracting and property-maintenance companies: scheduling, quoting, invoicing, accounting, messaging, AI assistance, and related tools. It is provided to you because a company (your employer, contractor, client, or business partner — your "Workspace Company") invited you into its workspace.

2. Accounts, identity, and who you say you are

FoundersCore is invite-only. When you accept an invitation you represent and warrant that:

Misrepresentation shifts liability to you. If you misrepresent who you are, who you work for or with, or your authority to act — or you access a workspace you know you are not entitled to — then, to the fullest extent permitted by law, you are solely responsible and liable for all resulting harm, and you agree to indemnify, defend, and hold harmless FoundersCore and the Workspace Company from any claims, damages, losses, fines, and legal fees arising from that misrepresentation or unauthorized access. We may also terminate your access immediately and refer the matter to law enforcement.

3. Acceptable use

You agree not to: access data you are not authorized to see; probe, scan, or test the platform's security; scrape or bulk-export data outside provided features; upload malware or unlawful content; harass others through the platform; use the platform to violate any law; or misuse the AI features to attempt to extract other users' or other companies' data.

4. Your Workspace Company's data and role

The business records in a workspace (customers, jobs, invoices, financials, timesheets — including clock-in/clock-out location for timesheet users — messages, and audit logs) belong to the Workspace Company, which administers who can see and do what. We process that data on the Workspace Company's behalf as described in the Privacy Policy and Data Handling Policy. Your Workspace Company's administrators can review activity within their workspace, including support conversations tied to the workspace.

Workspace Company compliance duties. Each Workspace Company (and each administrator acting for it) is responsible for its own legal compliance in how it uses the platform, including: providing employees any legally required notice of, and obtaining any required consent to, workplace monitoring features it enables (such as timesheet location tracking); complying with call-recording and consent laws applicable to its AI receptionist callers; lawful handling of applicant, employee, subcontractor, and customer information it collects through the platform; and payroll/tax compliance. The Workspace Company agrees to indemnify FoundersCore against claims arising from its failure to do these things.

5. AI features — know the limits

FoundersCore includes AI assistants that draft content, answer questions, triage support issues, and take permitted actions on your behalf. AI output can be wrong, incomplete, or out of date. You must review AI output before relying on it, especially anything sent to a customer, anything financial, and anything legal or safety-related. AI features are not legal, tax, accounting, or professional advice. You remain responsible for actions you direct the AI to take.

6. Honest talk about pitfalls

No software is perfect. You understand and accept that: internet software can have outages, bugs, and data errors; despite industry-standard safeguards, no system is immune to security breaches; messages and notifications can be delayed or lost; integrations with third parties (payment, phone, email providers) can fail; and AI can produce mistakes. We work to prevent and fix these, but you agree we are not liable for harms arising from these inherent risks except as expressly stated in these Terms.

7. Service is provided "as is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (a) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION; AND (b) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM IS LIMITED TO THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS PAID TO US FOR THE PLATFORM BY YOUR WORKSPACE COMPANY IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless FoundersCore, its owners, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from: your misrepresentation of identity, employment, or authority; your violation of these Terms or of law; your content; or your misuse of the platform or its AI features.

10. Suspension and termination

Your Workspace Company controls your membership in its workspace and may remove you at any time. We may suspend or terminate access immediately for violation of these Terms, suspected fraud or misrepresentation, security risk, or as required by law. Sections 2, 6–9, and 12 survive termination.

11. Changes

We may update these Terms. If we make material changes, we will post the new version here with a new effective date and may ask you to re-accept. Continued use after changes take effect is acceptance.

12. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Chatham County, Georgia, and you consent to their jurisdiction. The prevailing party in any action to enforce these Terms is entitled to recover reasonable attorneys' fees.
